U-exist Terms and Conditions of Use and Sale

These general conditions (hereinafter referred to as the "General Conditions" or the "GC") apply to all Internet users browsing the www.u-exist.com website (hereinafter referred to as the "Site").

Where applicable, these General Terms and Conditions, together with any special terms and conditions accepted by the Internet user, form a contractual whole, hereinafter referred to as the "Contract", entered into with Evoletik, a SAS with share capital of 124,500 euros, registered with the Lille Trade and Companies Register under number 804 645 802, having its registered office at 81 avenue Jean Lebas, Roubaix, hereinafter referred to as "U-exist".

The Internet user and U-exist are individually or jointly referred to hereinafter as the "Party or Parties".


ARTICLE 1. PREAMBLE

U-exist offers Internet users designs printed on fabric or paper for orthopedic applications. These products are in no way medical devices..

An account creation link will be sent to healthcare professionals so that they can set up a personal account, enabling them to place orders.

Browsing the Site immediately implies acceptance of these Terms and Conditions.

ARTICLE 2. DEFINITIONS

"Customer":Healthcare professional registered on the U-exist Site, having purchased one or more products on the Site.

"User": any person browsing the Site, whether Customer or visitor.

"Customer account": refers to the account opened by the healthcare professional in order to benefit from the services offered by U-exist.

"Identifiers": all elements communicated by the User to identify him/herself and in particular to access his/her Customer Account. account.

"Special Conditions" or "SC": this refers to the information provided by the User when registering, as well as any other special conditions previously accepted by the User. The Special Conditions specify, in particular, the price and characteristics of each Product. In the event of contradiction between the GTC and the PC, the PC shall prevail.

"Services": refers to the various services offered on the Site by U-exist.

"Products": the products offered for sale on the Site by U-exist.

ARTICLE 3. ACCEPTANCE AND MODIFICATION OF THE GENERAL TERMS AND CONDITIONS

The present Terms and Conditions apply to all Users of the Site, Orthopaedic Professionals, except for individual Users with regard to the provisions of the Consumer Code relating to the sale of Products. The latter are invited to contact U-exist customer service directly to place an order.

Access to and use of the Site implies immediate acceptance of these Terms and Conditions.

When creating your Customer Account, by checking the box "I accept the U-exist General Terms and Conditions", you declare that you are of legal age and that you accept the U-exist General Terms and Conditions fully and unreservedly.

If you do not agree with the following provisions, we recommend that you do not use the Site and/or the U-exist Services.

U-exist reserves the right to change these Terms and Conditions at its discretion, and any changes will take effect immediately upon posting.

In the event of significant modifications, U-exist will notify Users with a Customer Account as soon as possible.

If you do not agree with these changes, you are advised to stop using the Services and to delete your User Account.

Otherwise, changes to the General Terms and Conditions will be deemed accepted from the moment the User continues to use the Services after publication and/or notification of said changes.

All transactions remain subject to the General Terms and Conditions in force at the time of their conclusion.

Successive versions of the General Terms and Conditions remain accessible in PDF format on the U-exist Site, with their period of validity specified.

ARTICLE 4. EFFECTIVE DATE - DURATION

The present Terms and Conditions set out the conditions of use of the Site by all Users and the conditions governing the sale of Products where applicable. They are applicable for as long as the User uses the Site or the associated Services, and in particular for as long as an order is being processed and until its final delivery or return, if applicable.

ARTICLE 5. CUSTOMER ACCOUNT

TO BE MODIFIED 

The User may obtain an account on the Site if he or she is a healthcare professional.

The creation of a Customer Account is mandatory to order Products.

By requesting the creation of an account, the healthcare professional guarantees to provide accurate and up-to-date information concerning his/her identity and contact details. The customer will also be asked to create a password for their Customer Account.

All information used to identify the registered user is strictly personal and confidential. The customer undertakes to keep secret his Identifiers enabling access to the Services.

In addition, the customer undertakes to provide an e-mail address of which he is the owner.

U-exist reserves the right to refuse a registration or to suspend or close a Customer Account if it has doubts about the authenticity of this information.

In the event of doubt or necessary verification, U-exist may ask the healthcare professional to provide proof of identity in order to verify the conformity of his or her declarations.

The customer undertakes to immediately inform U-exist of any unauthorised use of his User Account and any breach of confidentiality and security of his Identifiers by sending an e-mail to the following address: commercial@u-exist.com

The customer undertakes to register only once under his or her real name and not to multiply registrations under pseudonyms and/or multiple e-mail addresses.

Any usurpation of identity may give rise to criminal prosecution, in accordance with the provisions of article L.226-4-1 of the French Penal Code.

ARTICLE 6. ORDERING PROCESS

In order to place an order, the User must obtain a User Account. Placing an order requires prior acceptance by the Customer of the GTC, which the Customer acknowledges and accepts. The order form is available in English, French and German.

The Customer must check that the information provided to U-exist concerning his personal data is accurate and correct, particularly the delivery address and billing address.

The information that must be provided to U-exist for the order is indicated on the Site by an asterisk.

The various stages of the ordering process are as follows:

  1. The Customer must select the Product(s) he/she wishes to order and click on the "ADD TO CART" button to add them to his/her shopping cart, located in the top right-hand corner of the screen. As the Products are distributed in a limited number of copies, the Customer may purchase a maximum of five (5) identical Products, regardless of the number of orders. Depending on the Product, a restriction may apply to limit the number of copies of the same Product ordered;
  2. The Customer must then check the contents of his basket and may modify it by adding or deleting Products;
  3. The customer must complete an online identification questionnaire and check that the information provided is accurate, in particular surname, first name, e-mail address and password. If you already have a customer account, you can click on the "Log in" button and enter only your e-mail address and password.
  4. The Customer will be able to check the contents of his order, as well as the delivery address for Products and the billing address, which he may modify. In the event of an error in entering the delivery address, U-exist cannot be held responsible for the non-delivery of the Products. The Customer must ensure that he/she provides all the information required for delivery to take place.
  5. The customer chooses his or her mode of delivery, as the carriers available may vary according to the destination country, and his or her mode of payment.
  6. By clicking on the "Order" button, the customer confirms his/her order, which now includes the price of delivery, in euros including tax for the European zone, and in the currency of the country excluding tax for countries outside the European zone. He will then be asked to pay for his order by clicking on the "Pay my order" button, and to proceed with payment according to the payment option chosen. For countries outside the European zone, any customs duties and other taxes applicable according to the country of delivery are paid directly by the Customer to the carrier on receipt of the order.

The Contract will be considered concluded once the payment has been made, which will give rise to confirmation by e-mail summarizing the contents of the order and specifying :

  • Products ordered and their prices ;
  • Order number ;
  • Price;
  • Delivery method and delivery period.

The acknowledgement of receipt of the order constitutes proof of the order for the Customer and must be retained. The applicable GTC, which the Customer will have validated when placing the order, are available on the Site in PDF format and can be freely downloaded.

In the event of unavailability of a Product ordered, U-exist will inform the Customer as soon as possible and indicate the date on which the Product can be delivered or, failing that, cancel the order.

The Contract relating to an order of 120 euros or more will be archived by U-exist, for a period of ten years from its execution. The archive will be accessible on request from the Customer to U-exist.

Orders placed by a Customer will also be accessible on his User Account.

ARTICLE 7. PAYMENT AND PRICES

A) PRICES

The selling prices of U-exist products are those indicated on the Site.

The sale prices of the Products are indicated on the Site in euros, inclusive of tax (including the applicable value-added tax) for the European zone. For countries outside Europe, prices are shown in euros, excluding taxes and customs duties.

The sale prices of Products may be modified by U-exist at any time, it being understood that Products ordered are invoiced at the price in force when the order is registered.

In the event of an error in the price of one or more Products, the order will be maintained if the corrected price is lower than that displayed, the lower price being applied. On the other hand, if the corrected price is higher than the displayed price, the Customer will be informed of the new price, and will be free to accept payment, in which case the order will be maintained, or to refuse, in which case the order will be cancelled.

The prices indicated do not include the cost of delivery of the Products until the order has been finalized.

For each Product, the cost of delivery is indicated at the end of the order process, separately from the price of the Products chosen.

The price of any Product is thus specified in the Special Conditions accepted by the Customer.

The total price invoiced to the Customer thus includes the cost of the Products chosen, including the VAT applicable to the European zone.

B) CARD AND BANK DETAILS

The customer guarantees U-exist that he/she is fully authorized to use the payment card for the payment of his/her order and that these means of payment legally give access to sufficient funds to cover all costs resulting from his/her order on the Site.

U-exist cannot be held responsible for any fraudulent use of the means of payment used.

U-exist reserves the right to suspend or cancel any order and/or delivery, whatever its nature and level of execution, in the event of non-payment of any sum due by the User or in the event of a payment incident. The Customer will be notified of the payment incident by e-mail.

The security of bank details is ensured by the service providers in charge of the payment module (Paypal and Stripe), who encrypt customer details, whether for a one-off payment or for storing bank details for subsequent purchases.

Customers' bank details are not stored under any circumstances, nor do they pass through U-exist's servers or computer system in general.

The customer may also pay by bank transfer or cheque on receipt of the order. 

ARTICLE 8. GEOGRAPHICAL AREA

Delivery of U-exist products is offered in the following countries: Metropolitan France, Austria, Belgium, Germany, Italy, Luxembourg, Netherlands, Spain and Great Britain hereinafter referred to as the "Geographical Area".

Orders placed on the Site are delivered only within the Geographic Zone.

The following are expressly excluded from the Geographical Area:

  • French overseas departments and territories.

ARTICLE 9. DELIVERY

A) CHOICE OF DELIVERY ADDRESS

The delivery address is provided by the customer when the order is registered, according to the delivery method chosen.

The User must ensure that he/she provides an accurate and up-to-date address, with all the information required for delivery. The User must receive the U-exist parcel at the delivery address indicated at the time of ordering. This address cannot be changed after the order has been placed and validated by payment.

Orders placed on the Site are delivered only within the geographical zone specified in the article "Geographical zone". Delivery charges and taxes are the responsibility of the Customer. The Customer is advised that taxes and delivery charges may be higher or lower depending on the place of delivery and the delivery method chosen.

U-exist cannot be held responsible for any delivery that does not reach the Customer if the Customer has not provided an accurate, up-to-date address, containing all the information necessary for the delivery to take place when the order is placed (and in particular, building number, access codes, intercom, etc.) or if the Customer does not collect the order within the time limit from the relay point or collection point where the parcel was made available. The Customer will then be reimbursed within six (6) working days of receipt of the Products by U-exist.

B) DELIVERY TIMES

U-exist makes every effort to ensure fast shipping times, but has no control over delivery times once the order has been dispatched. The preparation time for an order is a maximum of six (7) working days.

In general, delivery times observed by carriers are between two and five working days for delivery in mainland France, from the e-mail notifying shipment of the order. The estimated delivery time is indicated in the order confirmation e-mail, and U-exist undertakes to deliver within eleven (11) working days for Metropolitan France and twenty (20) working days for international deliveries.

In the event of force majeure, health crisis, or any other exceptional event preventing receipt of the package within the allotted time, delivery times may be extended accordingly without U-exist being held responsible.

If the maximum time limits indicated above are exceeded, the Customer may request cancellation of the order and obtain a refund.

If the Product is in transit at the time of the cancellation request, the Customer must return the Product at his own expense.

Working days are days worked, from Monday to Friday, excluding public holidays and Saturdays and Sundays.

The applicable delivery times are indicated when the order is placed, and depend on the Customer's choice of delivery method. The delivery times indicated when the order is placed and according to the delivery method chosen correspond to the usual delivery times for the carrier in charge of delivery. A tracking number will enable the Customer to follow the progress of the order.

ARTICLE 10. RETENTION OF TITLE

U-exist retains full and complete ownership of the Products sold until full payment has been received for the Products purchased.

ARTICLE 11. CONFORMITY AND AVAILABILITY OF PRODUCTS

A) AVAILABLE STOCKS

U-exist reserves the right to modify the Products offered for sale on its Website at any time, without prejudice to orders already placed by the Customer.

Products are offered while stocks last. Users are automatically notified when a Product is no longer available.

If, however, a Product is no longer available after the order has been placed, the Customer will be informed immediately by e-mail and will be reimbursed automatically, except in the case of force majeure or the actions of a third party.

B) LEGAL WARRANTIES

1. COMPLIANCE

In accordance with article L.111-1 of the French Consumer Code, the User has the opportunity to review the essential characteristics of the Products ordered on the Site.

However, U-exist informs the User that slight differences between the photographs of the Products on the Site and the actual Product may persist, despite U-exist's efforts to present the Products on the Site as accurately as possible.

These differences are due to factors beyond the control of U-exist, in particular differences in luminosity between the place where the Customer receives the Product(s) and the place where the photographs were taken, or due to the screen resolution of the User's terminal.

Pursuant to Article L.217-4 of the French Consumer Code, U-exist is required to deliver goods in conformity with the Contract and is liable for any defects in conformity at the time of delivery. The Customer has a period of two (2) years from receipt of the Product to bring an action for lack of conformity.

Product conformity is defined in article L.217-5 of the French Consumer Code:

"The property conforms to the contract:

1° Whether it is fit for the use ordinarily expected of similar goods and, if so :

  • if it corresponds to the description given by the seller and has the qualities that the seller presented to the buyer in the form of a sample or model;
  • it has the qualities that a purchaser may legitimately expect, having regard to the public statements made by the seller, by the producer or by his representative, particularly in advertising or labelling;

2° Or if it has the characteristics defined by mutual agreement between the parties or is suitable for any special use sought by the buyer, brought to the seller's attention and accepted by the latter."

In the event of non-conforming delivery, in particular due to a logistical error, U-exist will bear the cost of returning the Product. The Customer will have the choice between repairing or replacing the Product, unless either option would result in a manifestly disproportionate cost for U-exist, which will then choose the appropriate method of restitution, in accordance with Article L.217-9 of the French Consumer Code.

2. HIDDEN VICES

The seller guarantees the item sold for any latent defects, i.e. defects which render the item unfit for its intended use, or which limit its use to such an extent that, had the buyer been aware of the defect, he would not have contracted.

An action under the warranty for latent defects must be brought within two years of discovery of the defect.

ARTICLE 12. INTELLECTUAL PROPERTY

A) PROTECTION UNDER INTELLECTUAL PROPERTY LAW

The trademarks Evoletik, U-exist and any other distinctive sign, trademark or trade name, the architecture, presentation and content of the Site (texts, forms, photographs, graphics, etc.) as well as the Products, their packaging and booklets, photographs, gifts, data or elements of any kind supplied or produced by U-exist are the exclusive property of U-exist or its partners and are protected by intellectual property law, and in particular legislation on copyright, trademarks, designs and models, as well as that relating to databases.

The User undertakes to respect the rights held by U-exist and not to copy or reproduce in any way whatsoever, including but not limited to all or part of the elements of the Site, the Products, their packaging and any gifts provided by U-exist, whatever the medium or process, including for commercial purposes, and except for legal or regulatory exceptions in force.

The User undertakes not to alter or modify in any way whatsoever and for any reason whatsoever the Site and the elements or content thereof. He also undertakes not to allow a third party or provide the means enabling a third party to carry out such alterations or modifications.

Any use of the aforementioned elements without prior authorization from U-exist is likely to constitute an infringement. Users may request authorization from U-exist at the contact address mentioned in 12.b.

THE USER IS HEREBY INFORMED THAT ANY VIOLATION OF THE AFOREMENTIONED PROVISIONS CONSTITUTES AN INFRINGEMENT LIABLE TO ENGAGE THE CRIMINAL AND CIVIL LIABILITY OF ITS AUTHOR

B) LICENSE OF USE GRANTED TO USERS

U-exist grants Users a non-exclusive, non-transferable, limited license to use the contents of the Site for the duration of the Agreement, for the exclusive purpose of the proper performance of the Service, excluding any commercial use of such contents.

Under no circumstances may the elements of the Site be used by the User for any other purpose, in particular for commercial purposes.

Any other use of the elements of the Site or more generally of the U-exist visual identity is subject to the prior agreement of U-exist.

Any automated extraction of elements of the Site, prices or photographs or descriptions of Products is expressly prohibited.

It is also forbidden to use U-exist's distinctive signs for the referencing of third-party product or service offers.

Any use of its trademarks and trade names to improve the referencing of third-party services, in particular as "meta tags" or as keywords, whether visible or invisible to the Internet user, is therefore prohibited.

Users may request permission from U-exist to use these elements at the following e-mail address: shop@u-exist.com.

U-exist does not guarantee that the User's request will be granted. Authorization may be subject, where applicable, to the payment of a fee proportional to the use envisaged.

ARTICLE 13. HYPERTEXT LINKS

U-exist may provide hypertext links for the information of Users. These links automatically redirect Internet users to other websites. U-exist cannot be held responsible for any damage resulting from the consultation of these websites or for any illicit and/or immoral content that may be accessible there. U-exist has no control over such content.

In the event of inappropriate, illicit or offensive content, Users will immediately inform U-exist, which will remove the hyperlinks concerned without delay.

SECTION 14. DEACTIVATION OF USER ACCOUNT

Failure to comply with these GTC, providing false information when creating a User Account, or other actions contrary to the interests of U-exist may result in suspension of access to the Services.

U-exist reserves the right to refuse any order from a Customer with whom there is such a dispute, even if the Customer uses a new User Account.

ARTICLE 15. PROHIBITION ON PURCHASE/RESALE

The sale of Products on the Site is reserved for consumers and not for professionals acting in the course of their business or on behalf of another professional. Under no circumstances may Products be purchased on the Site with the aim of being resold for commercial purposes.

ARTICLE 16. LIMITATION OF LIABILITY AND FORCE MAJEURE

A) SITE OPERATION

U-exist cannot guarantee that the Site and Services will be uninterrupted. The obligation to provide the Site and Services is limited to an obligation of means.

B) SITE SAFETY

U-exist makes every effort to ensure the proper operation and security of the Site. However, infection of the Site or any of its components by a virus or malicious program cannot be ruled out. Should this be the case, Users and Customers may not hold U-exist liable for any damage, direct or indirect, foreseeable or otherwise, to their computer equipment or the data contained therein, or for any other damage related to the program or malicious action of third parties at work on the Site, including in the event of downloading elements from the Site. Users are responsible for equipping and installing anti-virus software and appropriate protection and security programs on their computer terminals.

C) LATE DELIVERY

U-exist is responsible for the delivery of Products within the deadlines set out in these GTC. However, in the event of a delay in delivery, the Customer may only claim reimbursement for the Product(s) concerned, and under no circumstances compensation for any other damage, whether direct or indirect, and whatever its nature.

D) LIMITATION OF PRODUCT LIABILITY

The liability of U-exist in relation to Products purchased on the Site is limited to the price of the Product(s) concerned. U-exist shall not be liable for any other direct or indirect loss, including but not limited to loss of opportunity, moral prejudice, loss of time or loss of income.

E) ACT OF A THIRD PARTY OR FAULT OF THE USER

U-exist may not be held liable for any of its obligations under these Terms and Conditions in the event that failure to perform its obligations is attributable to the act of a third party, even if foreseeable, to the fault of the User, or to the occurrence of a fortuitous event or force majeure that hinders or delays performance.

F) FORCE MAJEURE

U-exist will inform the user of a fortuitous event or force majeure within seven (7) days of its occurrence.

Cases of force majeure suspend U-exist's obligations under the GTC or the Contract for as long as they exist.

Thus, in the event of non-performance of one of the obligations provided for in the Contract or the GTC, U-exist will not be considered to be in default or liable to pay compensation if performance of the obligation has been rendered impossible by a case of force majeure within the meaning of the applicable case law and Article 1218 of the New Civil Code.

ARTICLE 17. CLAIMS

Any complaint made by a User must be addressed to U-exist at the address below, and must indicate "complaint" in the subject line, whatever form it may take (e-mail or post, etc.).

ARTICLE 18. CANCELLATION

A) RIGHT OF WITHDRAWAL

The Customer has a right of retraction which he may exercise within fifteen (15) days of receipt of the Products, without having to justify any particular reason.

The cost of returning the label is borne by the customer. To obtain a prepaid label, the customer must send a request to the sales department at the following address: shop@u-exist.com.

B) FORM OF WITHDRAWAL

In order to exercise his right of withdrawal within the fourteen (14) day period, the User may notify his decision to U-exist by registered letter with acknowledgement of receipt or by e-mail, using the withdrawal form attached hereto. The User should specify "Withdrawal" in the subject line and send the letter to the following address:

C) REIMBURSEMENT

Following retraction and if applicable, reimbursement of the full price paid, including delivery costs paid at the time of placing the order, will take place via the means of payment used by the Customer, no later than fourteen (14) days following receipt by U-exist of the returned Product(s), under the conditions set out in Article 19. Reimbursement may however be cancelled or deferred if the Products have been damaged.

ARTICLE 19. RETURN PROCEDURE

In accordance with article L 121-21-8 5° of the French Consumer Code, products which have been unsealed by the consumer after delivery and which cannot be returned for reasons of hygiene or health protection cannot be subject to the right of withdrawal.

Reimbursement is conditional upon receipt of the Products in perfect condition and sealed in their original envelope. The Customer is advised to ensure proof of the effective return of the Product(s), by choosing a tracking method. Failure to do so could result in the postal services refusing to investigate the whereabouts of the package containing the returned Product(s).

Products are returned at the Customer's risk. U-exist cannot be held responsible for any damage resulting from a delivery problem affecting the returned Product(s) (loss, theft, damage) insofar as it is not the sender.

ARTICLE 20. MISCELLANEOUS

A) SEVERABILITY OF CLAUSES

If one or more provisions of the GTC or the Contract are held to be invalid by a law or regulation, or declared as such by a final decision of a competent court, they shall be deemed unwritten, and the other provisions shall retain their full force and scope, unless the invalidity affects an essential provision of the GTC or the Contract.

B) INTERPRETATION 

The titles given to the articles and sub-sections are for convenience only, and cannot be used to interpret the provisions of the GTC or the Contract.

ARTICLE 21. APPLICABLE LAW

These General Terms and Conditions are governed by French law. In the event of translation of the present General Terms and Conditions, only the French version shall prevail.

However, in accordance with Article 6 §2 of the Rome I Regulation, individuals living within the European Union may benefit from any more protective and mandatory provisions of their national law.

ARTICLE 22. SETTLEMENT OF DISPUTES AND MEDIATION

In the event of a dispute concerning the validity, interpretation or performance of the GTC or the Contract, the Parties undertake to seek an amicable solution in good faith before initiating any legal action.

If the Parties are unable to reach an amicable solution, either Party may decide to resort to a conciliation procedure through a conciliator. The role of the conciliator is to help settle disputes outside the context of legal proceedings.

In addition, all consumers have the right to free recourse to a consumer mediator in accordance with article L612-1 of the French Consumer Code: http://www.economie.gouv.fr/mediation-conso and http://eur-lex.europa.eu/legal-content/FR/TXT/PDF/?uri=CELEX:32013L0011&from=FR.

The mediator's task is to bring the parties together and help them find their own solution to the dispute, unlike the conciliator who can deal with the case without the two parties being present.

If no conciliation or mediation is successful, or if the Customer does not wish to go through one or other of these alternative dispute resolution procedures, the dispute must be brought to the attention of the competent court, it being specified that the French courts will have jurisdiction.

Pursuant to Article R. 631-3 of the French Consumer Code, the Customer may, at his or her own discretion, refer the matter to :

  • one of the courts with territorial jurisdiction under the Code of Civil Procedure (court of the defendant's domicile or registered office, court of the place of actual delivery of the goods or place of performance of the service)
  • or the jurisdiction of the place where he lived at the time the contract was concluded or the harmful event occurred.

ARTICLE 23. LEGAL NOTICE
